Risk Warning and General Disclaimer

Trading in cryptocurrencies involves significant risks and may result in the loss of your money. Users are responsible for understanding these risks and use the Service at their own risk. Users also acknowledge that trading is not suitable for everyone and involves risks that may vary considering each user's personal circumstances. We recommend seeking independent advice if you are uncertain before deciding to use the Service.

Our Service is purely informational and analytical, and includes importing and analyzing your Trading Data and providing performance metrics and AI-powered insights. Trading Data is sourced from third-party exchanges and may not be fully accurate, complete, or up-to-date. You are solely responsible for independently verifying the accuracy of any information provided through the Service. Such information should not be construed as an endorsement or recommendation of any particular investment strategy or decision.

We do not hold or manage your funds, execute trades on your behalf, or have withdrawal permissions on your Exchange Accounts (defined below). It is your responsibility to review, assess and verify any information we provide prior to making any decision.

We do not provide investment advice, portfolio management, financial advice, cryptocurrency exchange services, custody, or any other financial services. We are not regulated by any financial authority, and you should not expect the benefit of regulatory protections.

Registration

To use our Service, you will need to register and create an account through our website at https://reflekt.trade. To create an account, you must provide accurate information, including your email, nickname, and password, or authenticate by connecting a supported digital wallet. You agree to: (a) provide accurate, up-to-date, and complete information during registration; (b) promptly update your information as necessary; (c) keep your login credentials secure and confidential; (d) notify us immediately if you suspect any unauthorized access to your account; and (e) be solely responsible for all activity that occurs under your account.

In order to use the Service, you will need to connect an account with a cryptocurrency exchange ("Exchange Account") via API keys with read-only access. The Service currently integrates with Hyperliquid, Binance, and Bybit ("Supported Exchanges"); we may amend the list of Supported Exchanges at our sole discretion. By connecting your Exchange Account, you authorize us to import and store certain information as set forth in the Privacy Notice. Note that we do not execute trades or have withdrawal permissions on your Exchange Account.

Eligibility

To use the Service, you must meet the following eligibility criteria: You must be at least 18 years old; You must have the legal capacity to enter into a binding contract; You must not be a citizen, national, resident, or a legal entity of any country or territory subject to international sanctions or those specifically prohibited by us or by the Supported Exchanges ("Restricted Jurisdiction"), and must not be a person (legal or natural) identified under any sanctions list or other restrictive measures of any country or inter-governmental organization ("Restricted Person"). We reserve the right to modify the Restricted Jurisdiction list and to restrict access from persons (natural or legal) who are employed by or associated with a Restricted Person.

"Restricted Jurisdiction" includes the Democratic People's Republic of North Korea, Syria, the Islamic Republic of Iran, and Yemen.

User Responsibilities

As a user of our Services, you are responsible for: connecting your Exchange Accounts to the Service; ensuring the accuracy and security of your account information; paying all applicable fees relating to the use of the Service, and to any other third-party, including, without limitation, the fees charged by the Supported Exchange, and taxes; ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction; and avoiding engagement in activities such as market manipulation, money laundering, and other activities that deviate from reasonable commercial behavior (even where such activities are permissible in your jurisdiction).

AI-Powered Features

The Service leverages artificial intelligence technology ("AI") to analyze certain data and generate insights (the "AI Features"). AI Features include: (1) analysis of your trading patterns and behavior; (2) recommendations such as optimal trading times, pattern analysis, and loss breakdowns; (3) AI-driven personalized insights based on your Trading Data; and (4) other AI-assisted analytics as may be introduced from time to time. AI is integral to the Service and is not an optional or severable feature; by using the Service, you are using the AI Features.

AI Features are powered by third-party artificial intelligence providers, which may include large language model (LLM) services. By using AI Features, you acknowledge and agree that your Trading Data and interactions will be processed by these third-party providers in accordance with their terms of use and our Privacy Notice. To the fullest extent permitted by applicable law, we disclaim all liability for any data leaks, unauthorized access, data breaches, or any use, retention, or processing of your data by such third-party AI providers.

Data and insights provided by AI Features are provided for informational purposes only and do not constitute financial advice. You are responsible for: (1) independently verifying any information or insights provided by AI Features before making trading decisions; (2) employing reasonable judgment when evaluating AI outputs; and (3) seeking qualified professional advice where appropriate. You use AI Features at your own risk.

Leaderboards and Public Profiles

Registered users appear in Reflekt's global leaderboard by default. The leaderboard records trading performance over certain time periods based on Trading Data sourced from their connected Exchange Account. By default, you are identified on the leaderboard by your nickname together with your performance statistics only; your email address, wallet address, and other identifying information are not displayed. You may choose to make your full Platform profile public, and you may withdraw from the leaderboard at any time, through your account settings.

Leaderboards are designed for entertainment purposes only and do not carry any rewards, prizes, or other benefits, and may refer to the user's Platform profile page. We are not responsible for any use of your publicly shared data by third-parties.

Platform License

By accessing and using the Service, you acknowledge and agree that these Terms constitute a license agreement to use the Platform (and the Service thereon). This license agreement grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service subject to the conditions set forth in this section (the "Platform License"). This Platform License is granted solely for the purpose of enabling you to access and interact with our Service for your personal, non-commercial use.

You agree to not (a) use the Platform for any purpose other than as expressly permitted by these Terms; (b) reverse engineer, decompile, or disassemble the Platform; (c) scrape, mine, or extract data from the Service except as expressly permitted herein; (d) use the Platform in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use and enjoyment of the Service; (e) use the Platform to engage in any activity that is illegal, fraudulent, or harmful to us, to our Service, to users or to any third-party.

Limitation of Liability

The Platform, including the AI Features, is provided "as is" and "as available" without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy, completeness, or timeliness of Trading Data imported from Supported Exchanges, the accuracy of analytics or insights generated, or the performance of AI Features. We shall not be responsible for any issues, errors, or delays caused by Supported Exchanges, including API downtime or data discrepancies.

In no event shall we be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of the Platform, including but not limited to damages arising from trading decisions made based on analytics, insights, or AI outputs provided through the Service, whether based on contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to this Platform License, these Terms, or the use of the Service shall not exceed the amount paid by you, if any, for accessing the Service in the six months preceding the claim. You agree to indemnify, defend, and hold harmless us, our affiliates, and respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Platform or your violation of these Terms.

In the event of a system malfunction, API disruption with Supported Exchanges, or other technical issues affecting the accuracy or availability of the Service, you acknowledge and agree that We may, at Our sole discretion, limit, restrict, or suspend the Service. We shall not be liable for any losses, damages, or missed opportunities arising from such limitations, restrictions, or suspensions, unless such were caused by Our gross negligence or willful misconduct.

We reserve the right to suspend or terminate your access to the Service and the Platform License at any time, with or without notice, for any reason, including but not limited to your violation of these Terms or at Our sole discretion. Upon termination, you must immediately cease all use of the Platform. After termination, you will no longer be able to use any part of the Service, and any data or settings associated with your account may be deleted or rendered inaccessible, subject to applicable data retention requirements.

Intellectual Property Rights

All rights, intellectual property rights, title, and interest in and to the Platform, the Service and any features thereon, including (without limitation) its overall appearance and any text, graphics, designs, videos, interfaces, source code, logo, and underlying source files are and shall remain Our exclusive property. You acknowledge that you do not acquire any ownership rights in the Platform by using it.

User Content

The Service may allow you to create personal content such as notes, tags on trades, or other materials ("User Content"). As between you and us, you retain ownership of User Content you create. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to store, process, and display your User Content for the purpose of providing the Service. You are solely responsible for ensuring your User Content does not infringe third-party intellectual property rights, contain illegal or harmful material, or violate applicable laws.

Consideration

We reserve the right to charge fees for use of the Service or for certain features (including, without limitation, the AI Features). If we introduce any fees, we will provide You with at least 14 days' advance written notice.

Service Continuity

We may discontinue the Service in whole or any part thereof under certain conditions, including but not limited to changes in regulatory requirements, market conditions, or operational challenges. We reserve the right to update, modify, or adapt the Service and its functionalities from time to time. We will strive to provide notice to users where possible. However, we may discontinue the Service or any part thereof without notice under certain conditions.

Data Protection

We are committed to protecting your Personal Data. We will take appropriate technical and organizational measures to ensure the security of your data and prevent unauthorized access. For further information, please refer to Our Privacy Notice.

Indemnification

You agree to defend, indemnify, and hold Us harmless, Our affiliates, officers, directors, employees, agents, and suppliers, from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (I) your access to or use of the Service, including (without limitation) the AI Features; (II) your violation of these Terms; (III) your violation of any rights of another party, including any users; or (IV) your violation of any applicable laws, rules, or regulations. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with Us in asserting any available defenses.

Governing Law and Dispute Resolution

These Terms are governed by the laws of Cyprus, without regard to its conflict of law principles. In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute through amicable negotiations. If the dispute cannot be resolved through negotiations within 30 days, it shall be settled by the competent courts of Cyprus.

Assignment of Rights

You may not transfer, assign, sublicense, or pledge in any manner whatsoever your account or any of your rights or obligations under these Terms. We may transfer, assign, sublicense, or pledge in any manner whatsoever any of Our rights and obligations under these Terms to any affiliate, successor, or any other third-party without notifying you or receiving your consent.

Survival

You agree that the following provisions of these Terms shall survive termination of the Services, for any reason: Risk Warning and General Disclaimer, AI-Powered Features, Platform License (solely with respect to limitations of liability, disclaimers, and indemnification), User Content, Intellectual Property Rights, Indemnification, Governing Law and Dispute Resolution, and any other provisions which by their nature are intended to survive termination.

Miscellaneous

We will communicate with users via email or through our website. Users are responsible for informing us of any changes in their preferred email address. We are not liable for any events beyond Our control, including but not limited to unexpected changes in cryptocurrency markets, technical failures, or third-party service disruptions (including Supported Exchanges and AI providers). If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

These Terms, together with the Privacy Notice, constitute the entire agreement between you and us regarding the Platform and Service and supersede all prior or contemporaneous agreements, understandings, or representations.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
